General Terms & Conditions

CPP Quantity Surveyors – Terms & Conditions

These Terms and Conditions, together with our engagement letter, proposal or scope of work (the “Agreement”), govern the services provided by CPP Quantity Surveyors (ABN 23 530 399 176) (“Consultant”) to the client (“Client”). By engaging our services, the Client agrees to these terms.


1. Services
We will provide the services set out in the Scope of Work with reasonable skill and care. Any changes to the scope may result in revised fees and timelines. We rely on information provided by the Client and are not responsible for verifying its accuracy.


2. Fees & Payment
Fees may be fixed, hourly or otherwise agreed in writing. All fees are inclusive of GST unless stated otherwise. Expenses such as travel, accommodation and printing may be charged in addition.
Invoices are payable within the agreed timeframe stipulated in the fee quotation (either 3 or 7 days). Interest may be charged on overdue invoices. We may suspend services or take other action until payment is made.


3. Client Responsibilities
The Client must provide timely instructions, access, approvals and information required to perform the services. Any services not included in the Scope will be charged at standard rates.


4. Intellectual Property
All documents, reports and materials we create remain our property. The Client is granted a licence to use them for the Project only and must not use them for other purposes without our written consent.


5. Insurance
We maintain professional indemnity and other insurances as required by law. Certificates of currency are available on request.


6. Confidentiality & Privacy
Both parties must keep confidential information private unless required by law. We handle personal information in accordance with our Privacy Policy (available at www.cppqs.com.au).


7. Liability
Our liability is limited to the lesser of:
(a) the total fees paid under the Agreement, or
(b) the amount recoverable under our professional indemnity insurance.
We are not liable for consequential loss, loss of profit or any loss caused by incorrect or incomplete information provided by the Client.


8. Indemnity
The Client indemnifies us against claims or losses arising from reliance on inaccurate information supplied by the Client or use of our services other than for the Project.


9. Termination
Either party may terminate the Agreement if the other breaches a material obligation and fails to remedy within 30 days, or if invoices remain unpaid. Upon termination, we are entitled to payment for services performed to date.


10. Disputes
We will attempt to resolve disputes informally. If not resolved, disputes will be referred to mediation in Sydney before any legal proceedings (except for recovery of unpaid fees).


11. General
We may subcontract parts of the services but remain responsible for their delivery. The Client must provide a safe workplace. Records will be retained for the minimum legal period.
